Item 5.02
Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 29, 2013, Troy Nilson resigned from the board of directors of BMB Munai, Inc. (the “Company”).  Mr. Nilson also resigned from the Audit, Compensation and Corporate Governance and Nominating Committees of the Company’s board of directors.  To the knowledge of the Company and its executive officers, Mr. Nilson’s resignation was not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.  The Company expresses its gratitude and recognition to Mr. Nilson for his valuable service to the board of directors and our Company.
